Strategy's Market Value Slips Below the Worth of Its Bitcoin Stash
Strategy (MSTR) has crossed a rare threshold: its enterprise multiple to net asset value (mNAV) has dropped below 1. For years, investors priced Michael Saylor's company at a sizable premium to the value of its bitcoin holdings, giving it broad latitude to raise capital—flexibility the firm repeatedly used.
With the stock down to about $82, roughly 85% below its November 2024 record, Strategy's enterprise value is now estimated at around $50.4 billion. Its bitcoin reserves, valued at a $60,000 bitcoin price, are worth about $51.1 billion. In effect, the market is valuing the entire business at less than the bitcoin it holds.
At this level, new equity issuance becomes dilutive, as the company would be selling shares below the value of its underlying assets. Enterprise mNAV is calculated as enterprise value divided by bitcoin reserves, with enterprise value defined here as the market capitalization of all basic shares outstanding plus total debt plus total perpetual preferred stock USD Reserve.
This does not mean Strategy is unable to issue shares, but selling equity at current levels would likely amplify criticism. Several of the company's recent bitcoin purchases have been dilutive to common shareholders, drawing pushback from the community.
The broader concern is that Strategy is increasingly being priced more like a closed-end fund than an operating company. Similar vehicles—including the Grayscale Bitcoin Trust before its conversion to an ETF—have historically swung from significant premiums during periods of strong demand to persistent discounts as sentiment weakened. Closed-end funds often struggle to close such discounts because they lack an effective redemption mechanism that enables arbitrage between share price and underlying asset value.
Strategy, though, has more tools than a traditional closed-end trust. It can issue debt or equity when accretive, redeem or refinance securities, generate operating cash flow through its software business, and actively manage its capital structure.
