India’s Securities and Exchange Board of India (SEBI) fined Zee Entertainment Ltd (ZEEL) and its promoters Subhash Chandra and Punit Goenka a combined ₹1.5 crore and barred them from the securities market for one year over fund diversion. SEBI found that the promoter-controlled Essel Group pledged ZEEL’s Hyderabad property to raise ₹726 crore from IHFL without the company’s board and audit committee approval. The regulator said the transaction was not disclosed as a related-party deal under Ind AS-24 in the financial statements. The action is a substantive corporate-governance penalty that has hit ZEEL’s stock credibility and investor confidence.
