Evolution Mining (ASX: EVN) said it will acquire copper and gold miner Carnaby Resources (ASX: CNB) in an all-share deal valuing Carnaby at around A$213 million. Carnaby shareholders are set to receive 0.0682 new Evolution shares for each Carnaby share held, giving an implied offer price of 77 cents per share based on Friday’s close. The transaction includes Carnaby’s copper-rich Greater Duchess Project in Queensland, which Evolution plans to fold into its nearby Ernest Henry operations to add 10,000 tonnes of copper production per year using existing infrastructure. Carnaby’s board has unanimously recommended the scheme, which remains subject to customary closing condition.
