Metaplanet, a Japan-based Bitcoin treasury company, is moving its Bitcoin strategy into the U.S. market via a proposed investment in Nasdaq-listed Super League Enterprise.
In a definitive agreement announced Aug. 18, Metaplanet, through its wholly owned U.S. subsidiary, will contribute 2,100 BTC valued at about $132.1 million, plus $2.5 million in cash, to Super League. The initial investment totals roughly $134.6 million. In return, Metaplanet will receive common shares, preferred stock and warrants.
Upon closing, Super League will be renamed Superplanet, Inc. and is expected to serve as Metaplanet's dedicated U.S. Bitcoin treasury platform. Metaplanet is expected to own about 95.7% of Superplanet's issued and outstanding common stock. The announcement adds that, based on its stated calculation and including the potential exercise of outstanding prefunded warrants, ownership could be about 93.6%.
The deal is structured as a strategic investment in an already listed operating company, not a reverse takeover or SPAC transaction. Super League's existing gaming and media operations are expected to continue.
The 2,100-BTC contribution will form Superplanet's initial treasury. Metaplanet said the U.S. vehicle is designed to offer investors Bitcoin-treasury exposure through a Nasdaq-listed company while maintaining a revenue-generating operating business.
The arrangement extends Metaplanet's Bitcoin accumulation strategy across two major markets. Superplanet is expected to raise capital in the U.S., while Metaplanet continues to raise capital in Japan, with the structure intended to support long-term Bitcoin accumulation from both.
The agreement also includes a five-year lockup, positioning the Bitcoin contribution as a long-term treasury commitment rather than a short-term allocation.
Metaplanet said it already holds about 43,000 BTC, making the additional 2,100 BTC a further expansion of its corporate holdings. For U.S. investors, Superplanet could add another publicly traded route to Bitcoin treasury exposure while expanding Metaplanet's footprint in the American capital market. If completed, the transaction would mark another step in Metaplanet's plan to use listed companies and capital markets to build its Bitcoin treasury presence across Japan and the U.S.
